These terms govern your use of the ailocalseo.ai website and any services we provide. By using the site or signing an engagement letter, you agree to them.

1. The service

We provide local-SEO services for small businesses: keyword and competitor research, citation discovery and corrections, Google Business Profile optimization recommendations, weekly content briefs, ranking dashboards, and weekly reporting. Implementation of recommendations requires either your action or our paid execution add-on.

2. What we do not promise

Specific rankings, traffic, calls, or revenue. Local search results depend on factors outside our control, including Google's algorithm, your business's reputation, and the competitive landscape.
Automated posting to Google Business Profile. No public API exists for publishing GBP posts; our weekly drop is paste-ready content that you (or a person you delegate) publish.
Continuous service if Google revokes access. If Google suspends a listing or revokes our API access, the relevant measurements pause until restored.

3. Your obligations

You own or are authorized to manage the business and any websites we work on.
You will not ask us to do anything that violates Google's policies, applicable law, or another party's rights.
Information you give us is accurate to your knowledge.

4. Fees and billing

Monthly retainers bill on the first business day of each calendar month via the invoicing method on your engagement letter. The first month bills on signature. Either party may cancel a monthly retainer with 30 days' written notice; we do not refund the portion of the month already invoiced. One-time services (audits, AI Website builds) bill on agreed milestones.

5. Intellectual property

You own everything we produce specifically for your business (audit reports, recommendations, content drafts, schema, website code) once it is paid for. We retain ownership of our underlying tooling, prompts, and processes, including the ailocalseo.ai software and brand. We may use anonymized performance data to improve the service.

6. Confidentiality

Each party will protect the other's non-public information with the same care it uses for its own, and will only use it to perform the engagement.

7. Liability

To the maximum extent permitted by law, our aggregate liability for any claim arising from the service is capped at the fees you paid us in the 3 months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or lost rankings.

8. Indemnity

You agree to indemnify and hold us harmless from third-party claims arising from your content, your business operations, or your breach of these terms.

9. Termination

We may suspend or terminate the service if you materially breach these terms or fail to pay. On termination, we will provide a final dashboard snapshot and a copy of the work product on request.

10. Governing law

These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in Dallas County, Texas, and both parties consent to that jurisdiction.

11. Changes

We may update these terms. Material changes will be posted here and take effect 30 days after posting. Continued use after the effective date constitutes acceptance.
